Len E. Walker specializes in business transactions, corporate structure, stakeholder matters, and facilitating capital raises and financing. During his career, Len has served as the General Counsel for both public and private companies and has been involved in virtually all corporate related business matters. Len’s experience working with start-up and established companies has given him a keen understanding and perspective of business matters and challenges.

Len thrives at helping companies in all industries navigate complex issues by creating business structures and ownership metrics that best match the business needs of his clients. For example, Len helped a start-up tech company through its initial capital raise to develop an ultra-secure cell phone, and he advised a cryptocurrency company during a security token offering. He routinely handles contract negotiations and expansion restructuring for technology companies. Len also assists construction and engineering companies with master service agreements, purchase orders, subcontracts, and government proposals.

Len is adept at structuring entities for optimizing performance, growth, and stakeholder value as well as ease of merger, acquisition, or sale, while limiting liability and risk. His experience allows him to counsel his clients on the most effective, efficient legal courses of action to achieve their goals.

Len served as a Marine Corps officer and helicopter pilot in both Iraq and Afghanistan. His experience leading Marines and flying combat missions honed his leadership skills and encouraged him to embrace the necessity and importance of organizational structures and hierarchy, detailed planning and preparation, and flexibility. These skills translate perfectly to his practice, in which he is trusted for diligence and attention to detail, tackling compliance and regulatory concerns.   • Led negotiations for a multi-year, cyber and physical security contract with Fortune 500 energy company that required proprietary equipment, software, systems, and the engagement of highly specialized personnel.
  • Successfully negotiated a temporary pilot contract and a multi-year Software as a Service (SaaS) contract with a global news giant for representative services, subscription services, routine and specialty training, and engineering upgrades.
  • Engineered a ‘reverse merger’ with a private company and a publicly traded shell-corporation to facilitate a substantial capital raise as an alternative to traditional IPOs.
  • Restructured corporate holdings for leading engineering company to form a wholly-owned subsidiary for database, security, and specialty construction projects.
  • Advised multiple start-ups in their development and execution of fundraising plans utilizing convertible promissory notes, Private Placement Memorandums (PPM), Simple Agreements for Future Equity (SAFE), equity lines of credit, equity-based options and warrants, and security token offerings.
  • Counseled national technology staffing firm in negotiating master service agreements, employment agreements, and membership purchase agreements.
  • Works closely with software and technology inventors and patent agents to create impressive patent portfolios, producing, filing, and prosecuting 29 domestic and international patent applications and ten trademarks.
